1. Introduction & Acceptance
Welcome to Taskroo Pty Ltd ("we," "our," or "us"). Taskroo is a field service management software-as-a-service (SaaS) platform that helps businesses manage clients, jobs, quotes, invoices, and scheduling.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Customer," "you," or "your") and Taskroo Pty Ltd regarding your access to and use of our services, including our website, application, and related services (collectively, the "Service").
By accessing or using Taskroo Pty Ltd, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through a notice on our website. Your continued use of the Service after such notification constitutes acceptance of the modified Terms.
You must be at least 18 years old (or the age of majority in your jurisdiction) to use Taskroo. If you are using Taskroo on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
2. Definitions
The following definitions apply throughout these Terms:
- "Account" means the account you create to access and use the Service, associated with a specific workspace.
- "Customer" or "you" means the individual or entity that creates an Account and agrees to these Terms.
- "Customer Data" means all data, information, content, and materials (including text, files, images, and other content) that you or your Users upload, create, store, or transmit through the Service, including but not limited to client information, jobs, quotes, invoices, visits, notes, and attachments.
- "Public Links" means tokenized URLs that allow access to specific content (such as quotes) without requiring the recipient to log into the Service.
- "Service" means the Taskroo field service management platform, including our website, application, software, features, and related services.
- "Users" means individuals (including employees, contractors, or agents) authorized by you to access and use the Service through your Account.
3. Account Registration & Security
3.1 Account Creation
To use Taskroo, you must create an Account by providing accurate, current, and complete information, including but not limited to your name, email address, and company information. You are responsible for keeping this information up to date.

You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You agree to:
- Use a strong, unique password
- Not share your account credentials with anyone
- Notify us immediately of any unauthorized access to your Account
- Accept responsibility for all activities that occur under your Account

3.3 Account Sharing & Transfer
You may not share, transfer, or sell your Account to another person or entity. Each Account is intended for use by a single organization or business.
3.4 Account Suspension & Termination
We reserve the right to suspend or terminate your Account at any time if we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, pose a security risk, or for any other reason reasonably necessary to protect the Service, other users, or our business interests. We may suspend or terminate your Account immediately without notice for security risks, fraud, abuse, or to comply with legal requirements. For other circumstances, we will provide reasonable notice where practicable.
4. Service Description & Features
4.1 Service Overview
Taskroo provides a cloud-based platform for managing field service operations, including:
- Client and contact management
- Job tracking and management
- Quote creation and management (including Public Links and PDF generation)
- Invoice creation and tracking
- Visit scheduling and calendar management
- Team and User management
- File storage and attachments
- Email notifications
- Related administrative and reporting features

4.2 Subscription Plans & Features
Taskroo offers various subscription plans, including a Free plan and paid plans (e.g., Starter, Pro, Business), with different features, usage limits, and pricing. Features and limits are subject to your selected plan and may include:
- Number of jobs per month
- Number of Users
- Access to specific features (e.g., Public Links, priority support)
- Storage limits
- Number of Users

Details about plan features, limits, and pricing are available on our pricing page. We reserve the right to modify, add, or remove features, impose usage limits, throttle access, or otherwise restrict the Service at any time, with reasonable notice to affected Customers.
4.3 Usage Limits
Your use of Taskroo is subject to the usage limits specified in your subscription plan. Exceeding these limits may result in:
- Notification to upgrade your plan
- Service restrictions or throttling until you upgrade
- Account suspension if limits are consistently exceeded

4.4 Feature Availability
Some features may be labeled as "beta" or "experimental" and are provided "as is" without warranty. We may modify, suspend, or discontinue any feature at any time with reasonable notice.

Taskroo may integrate with or connect to third-party services, applications, or platforms (collectively, "Third-Party Services"). Your use of Third-Party Services is subject to the terms and conditions of those third parties. We are not responsible for, and disclaim all liability related to, the availability, content, functionality, practices, or performance of Third-Party Services. Any data you share with Third-Party Services is subject to their privacy policies and terms of service. You use Third-Party Services at your own risk, and we are not liable for any issues, losses, or damages arising from your use of or reliance on Third-Party Services.
5. Acceptable Use Policy
5.1 Permitted Uses
You may use Taskroo solely for lawful business purposes in accordance with these Terms.
5.2 Prohibited Activities
You agree NOT to:
- Use Taskroo for any illegal or unauthorized purpose
- Violate any applicable laws or regulations
- Infringe upon the rights of others, including intellectual property rights
- Transmit any harmful, offensive, or illegal content
- Send spam, unsolicited messages, or engage in harassment
- Attempt to gain unauthorized access to Taskroo systems or other users' Accounts
- Reverse engineer, decompile, or disassemble any part of Taskroo
- Use automated systems (bots, scrapers) to access Taskroo without permission
- Interfere with or disrupt the Service or servers
- Use Taskroo to compete with us or develop competing services
- Share, resell, or sublicense access to Taskroo
- Use Taskroo in a manner that could damage, disable, or impair the Service
- Upload malicious code, viruses, or any content designed to harm systems or data
- Engage in any activity that violates the security or integrity of the Service
- Violate any applicable laws or regulations
- Infringe upon the rights of others, including intellectual property rights
- Transmit any harmful, offensive, or illegal content

5.3 Consequences of Violations
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your Account without refund, and we reserve the right to pursue all available legal remedies, including reporting violations to law enforcement.
6. Customer Data & Data Ownership

You retain all ownership rights to Customer Data you create, upload, or store in Taskroo.
6.2 License to Taskroo
By using Taskroo, you grant us a limited, non-exclusive, worldwide, royalty-free license to:
- Store, process, and display Customer Data as necessary to provide, maintain, and improve the Service
- Create backups and archives of Customer Data
- Use anonymized, aggregated data for service improvement, analytics, and other business purposes
- Perform any other actions necessary to operate the Service

This license continues for the duration of your Account and as necessary for us to comply with legal obligations, resolve disputes, and enforce these Terms.
6.3 Your Responsibilities
You are solely responsible for:
- The accuracy, legality, and appropriateness of Customer Data
- Ensuring you have all necessary rights and permissions to store and process Customer Data in Taskroo
- Complying with applicable data protection laws
- Obtaining necessary consents from individuals whose data you store in Taskroo
- The security of Customer Data you upload or transmit through Taskroo

6.4 Public Links
When you create Public Links, you understand and agree that:
- Anyone with the link may be able to view the content, even if you did not intend to share it with them
- Public Links are accessible without requiring the recipient to log into the Service
- You are solely and fully responsible for:

We are not responsible for, and disclaim all liability for, unauthorized access to content accessed via Public Links that you share. We are not liable for any damages, losses, or consequences resulting from your sharing, failure to secure, or failure to revoke Public Links, including if a link is forwarded, leaked, or accessed by an unintended party.
6.5 Data Export
Where available, you may export Customer Data at any time through available export features (subject to your subscription plan). Upon Account termination, we will provide a reasonable opportunity to export Customer Data before deletion, where such export functionality is available. We are not obligated to provide export functionality or formats beyond what is available through the Service, and export may not include all data types or formats.
6.6 Data Deletion
Upon your request or Account termination, we will delete Customer Data from our active systems in accordance with our data retention policies. However, Customer Data may persist in backups for a limited time after deletion. We will delete Customer Data from backups in accordance with our backup retention schedule, which is typically 30-90 days. We are not obligated to immediately delete data from all backup systems, and some data may remain in backups until backup rotation occurs, even after deletion from active systems.
7. Data Protection Roles & Responsibilities
7.1 Your Responsibilities
You are the data controller (or equivalent, as applicable) for Customer Data. You are responsible for:
- Determining the legal basis for processing Customer Data
- Obtaining all necessary consents and authorizations from individuals whose data you process
- Ensuring Customer Data is processed in accordance with applicable data protection laws
- Responding to data subject requests regarding Customer Data
- Implementing appropriate technical and organizational measures to protect Customer Data
- Any violations of data protection laws arising from your use of Customer Data
- Obtaining all necessary consents and authorizations from individuals whose data you process
- Ensuring Customer Data is processed in accordance with applicable data protection laws
- Responding to data subject requests regarding Customer Data
- Implementing appropriate technical and organizational measures to protect Customer Data
- Any violations of data protection laws arising from your use of Customer Data
7.2 Our Role
We process Customer Data on your behalf to provide the Service. We will:
- Process Customer Data only as necessary to provide the Service and as instructed by you
- Implement appropriate technical and organizational measures to protect Customer Data
- Not use Customer Data for purposes other than providing the Service (except as permitted in Section 6.2)
- Assist you in responding to data subject requests where reasonably possible

7.3 Data Processing Agreement
If required by applicable law, a separate data processing agreement (DPA) may be necessary to govern our processing of Customer Data. You may request a DPA by contacting us.
8. Intellectual Property
8.1 Taskroo's Intellectual Property
Taskroo and its original content, features, functionality, design, trademarks, and logos are owned by Taskroo and are protected by international copyright, trademark, patent, and other intellectual property laws.
8.2 Limited License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Taskroo for your business purposes during the term of your Account.
8.3 Restrictions
You may not:
- Copy, modify, or create derivative works of Taskroo
- Remove any copyright, trademark, or proprietary notices
- Use Taskroo trademarks or logos without our prior written consent

8.4 Feedback
Any feedback, comments, or suggestions you provide regarding Taskroo may be used by us without obligation to you, and you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose.
9. Billing, Payments & Subscriptions
9.1 Subscription Plans
Taskroo offers subscription plans with varying features and pricing, including a Free plan and paid plans. Current pricing is available on our website and may be updated from time to time. We reserve the right to modify, add, or remove subscription plans with reasonable notice.
9.2 Free Plan
The Free plan is available at no cost while offered. Users on the Free plan have no payment obligations and are not required to provide a payment method unless they choose to upgrade to a paid plan. We reserve the right to modify, suspend, or discontinue the Free plan or its features at any time with reasonable notice.
9.3 Paid Subscriptions
Paid subscriptions are billed monthly in advance. If we offer annual billing, you may select that option at signup or when changing your plan. Payment is automatically charged to your payment method on file at the beginning of each billing cycle.
9.4 Automatic Renewal
Paid subscriptions will automatically renew at the end of each billing period unless you cancel before the renewal date. You are responsible for canceling your paid subscription if you no longer wish to use Taskroo. The Free plan does not require cancellation and remains available as long as you maintain an active Account.
9.5 Price Changes
We may modify our pricing with at least 30 days' notice. Price changes will apply to subsequent billing cycles. If you do not agree to the new pricing, you may cancel your paid subscription before the change takes effect. We reserve the right to modify or discontinue the Free plan or its features with reasonable notice.
9.6 Usage-Based Billing
Some paid plan features may be subject to usage-based billing (e.g., jobs per month). You will be notified if you exceed included limits and may be charged additional fees. Overage fees will be charged automatically to your payment method on file.
9.7 Payment Methods
For paid subscriptions, you must provide valid payment information. You authorize us to charge your payment method for all fees owed, including subscription fees and any overage charges. If payment fails, we may suspend or terminate your Account.
9.8 Refunds
All fees are non-refundable except as required by law. We do not provide refunds for:
- Unused portions of subscription periods
- Cancellations mid-billing cycle
- Feature changes or removals
- Service unavailability or interruptions
- Dissatisfaction with the Service

9.9 Failed Payments
If payment fails, we will attempt to notify you. Your Account may be suspended immediately until payment is received. We reserve the right to terminate Accounts with consistently failed payments without notice.

You may upgrade from the Free plan to a paid plan, or upgrade or downgrade between paid plans at any time. Upgrades take effect immediately; downgrades to paid plans take effect at the start of the next billing cycle. If you downgrade from a paid plan to the Free plan, the downgrade takes effect at the start of the next billing cycle, and you will retain access to paid features until that time. Refunds are not provided for downgrades or unused portions of paid periods.
9.11 Taxes
You are responsible for all taxes, duties, and government charges applicable to your use of Taskroo, unless otherwise stated. All fees are exclusive of applicable taxes unless otherwise specified.
10. Promotions & Trials (If Offered)
10.1 Promotional Offers
We may offer limited-time promotions, discounts, or trial periods from time to time. If offered:
- Promotions and trials are subject to the specific terms and conditions shown at the time of the offer
- No payment method is required for a trial unless explicitly stated in the trial offer terms
- At the end of a trial period, your access may end or revert to the Free plan unless you upgrade to a paid plan
- Promotional pricing may have expiration dates and cannot be combined with other offers unless explicitly stated
- We reserve the right to modify, cancel, or discontinue promotional offers at any time
- No payment method is required for a trial unless explicitly stated in the trial offer terms
- At the end of a trial period, your access may end or revert to the Free plan unless you upgrade to a paid plan

We may send you communications that are essential for the operation of the Service, including:

- We will work with you to facilitate data migration where reasonable, but we are not obligated to provide migration assistance beyond what is reasonable

13. Termination
13.1 Termination by You
You may cancel your paid subscription and terminate your Account at any time through your Account settings or by contacting us. If you are on the Free plan, you may terminate your Account at any time.

- You engage in fraudulent or illegal activity
- Payment fails and is not resolved
- We determine termination is reasonably necessary to protect the Service, other users, or our business interests

- We are not obligated to retain Customer Data after termination
- All fees owed remain due and payable

Taskroo IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY, RELIABILITY, OR COMPLETENESS

- That Taskroo is free of viruses or harmful components
- The accuracy of data stored or processed through Taskroo
- That the Service will be available at all times or in all locations

14.3 Third-Party Services

Your use of Third-Party Services is at your own risk.
14.4 Data Loss & Security
We implement security measures to protect Customer Data, but we do not guarantee that Customer Data will be secure or free from loss, corruption, or unauthorized access. You are responsible for maintaining backups of important Customer Data.
14.5 Non-Excludable Rights
Nothing in these Terms excludes, restricts, or modifies any right or remedy that cannot be excluded, restricted, or modified under applicable law (including consumer guarantees under consumer protection laws). To the extent permitted by law, our liability for breach of a non-excludable right is limited, at our option, to the resupply of the Service or the cost of resupply.
15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Taskroo'S TOTAL LIABILITY IN THE AGGREGATE TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF Taskroo SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO Taskroo IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
15.2 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Taskroo SHALL NOT BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
- BUSINESS INTERRUPTION OR DOWNTIME
- COST OF SUBSTITUTE SERVICES
- LOSS OR CORRUPTION OF DATA
- SECURITY BREACHES OR UNAUTHORIZED ACCESS
- DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE

15.3 Exceptions
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law, and Section 14.5 (Non-Excludable Rights) applies.
16. Indemnification

You agree to indemnify, defend, and hold harmless Taskroo, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and costs) arising from:

- Your violation of these Terms
- Your violation of any rights of another party (including intellectual property, privacy, or publicity rights)
- Customer Data you create, upload, or transmit through Taskroo
- Any claims that Customer Data or content infringes upon the rights of others
- Your violation of applicable data protection laws or regulations
- Your sharing or failure to secure Public Links
- Your use of Third-Party Services or integrations
- Your violation of these Terms
- Your violation of any rights of another party (including intellectual property, privacy, or publicity rights)
- Customer Data you create, upload, or transmit through Taskroo
- Any claims that Customer Data or content infringes upon the rights of others
- Your violation of applicable data protection laws or regulations
- Your sharing or failure to secure Public Links
- Your use of Third-Party Services or integrations
16.2 Indemnification Procedure
If a claim is made against us that is subject to indemnification under this Section:
- We will notify you promptly in writing of the claim
- We will have the right to control the defense and settlement of the claim
- You agree to cooperate fully with us in the defense of the claim, including providing information and assistance as reasonably requested
- To the extent the claim is covered by your indemnity obligations, you are responsible for all costs, fees, and expenses (including reasonable attorneys' fees) incurred in connection with the defense or settlement of the claim
- We may not settle any claim in a manner that imposes any non-monetary obligation on you or admits your liability without your prior written consent (not to be unreasonably withheld)
- We will have the right to control the defense and settlement of the claim
- You agree to cooperate fully with us in the defense of the claim, including providing information and assistance as reasonably requested
- To the extent the claim is covered by your indemnity obligations, you are responsible for all costs, fees, and expenses (including reasonable attorneys' fees) incurred in connection with the defense or settlement of the claim
- We may not settle any claim in a manner that imposes any non-monetary obligation on you or admits your liability without your prior written consent (not to be unreasonably withheld)
17. Dispute Resolution
For purposes of this Section 17, "Governing Jurisdiction" means the State of Victoria, Australia.
17.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Governing Jurisdiction, without regard to its conflict of law provisions.
17.2 Informal Resolution
Before pursuing formal legal action, you agree to first contact us to attempt to resolve any dispute informally. We will attempt to resolve disputes in good faith within 30 days.
17.3 Jurisdiction
Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of the Governing Jurisdiction, located in Melbourne, and you consent to the personal jurisdiction of such courts.
17.4 Class Action Waiver
To the fullest extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
18. General Provisions
18.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Taskroo regarding the Service and supersede all prior agreements, whether written or oral.
18.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be replaced with a valid provision that most closely approximates the intent of the invalid provision.
18.3 Assignment
You may not assign or transfer these Terms or your Account without our prior written consent. We may assign these Terms, including all rights and obligations, without restriction, including in connection with a merger, acquisition, or sale of assets.
18.4 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. No waiver will be effective unless in writing and signed by us.
18.5 Force Majeure
We are not liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, internet failures, government actions, or other force majeure events.
18.6 Notices
Notices to you may be sent to the email address associated with your Account. Notices to Taskroo should be sent to the contact information provided in Section 19 below. Taskroo is located in Melbourne, Victoria, Australia.
18.7 Survival
Sections that by their nature should survive termination (including but not limited to Sections 6, 8, 14, 15, 16, and 17) will survive termination of these Terms.
